Terms of Service for On-Demand Reviews

By purchasing any "On-Demand Review" service, you (the "Client") acknowledge that you have read, understood, and agree to be bound by the following terms and conditions.

1. Service Process & Delivery

Deliverable Format: All reviews will be delivered as a video walkthrough (hosted on Loom or a similar service) and sent to the email address provided by the Client during purchase. It is the Client's responsibility to provide a correct and accessible email address.

Business Days: For the purpose of calculating deadlines, "business days" are defined as Monday through Friday, excluding federal holidays in the United States. The first business day is the first full business day after payment is received.

Delivery Timelines:

  • On-Demand Quick Review: Delivered within 2 business days.
  • Expert Code & Architecture Review: Delivered within 3 business days.
  • On-Demand Project Deep Dive: Delivered within 3 business days.

Insufficient Information: I can only review the materials and information provided at the time of purchase. If I determine that the provided information is insufficient to conduct a thorough and valuable review, I will contact you via email to request additional information. The delivery timeline will be paused until the requested information is provided. A revised delivery timeline will be supplied if necessary.

2. Scope of Service & Client Responsibilities

Basis of Review: The quality, accuracy, and completeness of my review are directly dependent on the clarity and completeness of the materials you provide. I am not responsible for overlooking issues related to information or code that was not shared, was unclear, or was omitted.

Asynchronous Feedback: The review is provided as asynchronous feedback on the materials submitted. The service does not include live meetings, follow-up calls, or implementation of the suggestions provided.

Single Point-in-Time: The review reflects the state of the project, code, or plan at the time of submission. Any changes made by the Client after submission are outside the scope of the purchased review.

3. Payments, Refunds, and Cancellations

Payment: Full payment is required in advance to schedule the review and begin the work.

Refund Policy for Missed Deadlines:

  • If I fail to deliver the review within the specified timeline (e.g., 3 business days), I will issue a partial refund of 25% of the purchase price.
  • If I fail to deliver the review within 10 business days of the original due date, you are entitled to a full 100% refund upon request.

Cancellations: Once work has commenced on your review, the service is non-refundable, except as outlined in the "Refund Policy for Missed Deadlines" section above.

4. Confidentiality & Non-Disclosure Agreements (NDAs)

Standard Confidentiality: I will treat all information, documents, and code you provide as strictly confidential. I will not share, publish, or use your proprietary information for any purpose other than to conduct the review you have purchased.

Formal NDA: For projects requiring a formal, signed Non-Disclosure Agreement, an NDA can be executed for an additional fee of $500. This fee covers the administrative and legal review time associated with a custom agreement. Please contact me before purchasing if this is a requirement.

5. Intellectual Property

Client's IP: You retain all ownership rights to your pre-existing intellectual property, including your code, project plans, and business documents.

Deliverable License: Upon delivery, you are granted a non-exclusive, perpetual, worldwide license to use the video review and any accompanying written summaries for your own internal business purposes. You may not resell, distribute, or publicly display the deliverable without my prior written consent.

6. Disclaimer & Limitation of Liability

Professional Opinion: My review constitutes professional advice, expert opinion, and recommendations based on my experience. It is not a guarantee or warranty of any specific outcome, including but not limited to business success, application performance, or complete invulnerability from security threats. The Client is ultimately responsible for testing and implementing any suggestions.

Limitation of Liability: In no event shall my total liability to you for any and all claims arising from the service exceed the total amount of fees you paid for that service.
